Terms of Service

1. The service

WinSQLTool analyzes Windows Server and SQL Server infrastructure inventories that you upload and produces licensing-optimization reports. The service is operated by WinSQLTool (“we,” “us”). By creating an account or uploading data, you agree to these terms on behalf of yourself and, where applicable, the organization you represent.

2. Reports are estimates, not compliance determinations

Our reports are planning estimates built from the inventory you provide, the assumptions shown in the report, and published Microsoft licensing rules and list prices as we understand them at the time of generation. They are not legal advice, a compliance determination, or a substitute for verification with Microsoft or your licensing partner. Microsoft licensing terms and prices change; confirm any position with your Licensing Solution Partner or reseller before acting on it. We are not affiliated with Microsoft Corporation.

3. Your data: non-use and non-disclosure commitment

The inventory data you upload describes your infrastructure, and we treat it as confidential. Specifically:

• We will never disclose your data — inventories, reports, or uploaded documents — to Microsoft, any reseller, any Licensing Solution Partner, any auditor, or any other third party, except where we are compelled by law (in which case we will notify you unless legally prohibited from doing so).
• We will not use your data for any purpose other than providing the service to you. We do not sell it, train models on it, or use it in aggregate analyses without your separate written agreement.
• On request, we will delete your inventories, reports, and uploaded documents within 7 days and provide written confirmation of the deletion.

4. Accounts

You are responsible for the accuracy of the information you provide, for safeguarding your credentials, and for activity under your account. You must only upload data you are authorized to share. We may suspend accounts that violate these terms or abuse the service.

5. Fees

Audit pricing is published on our pricing page. Fees for annual audits cover the stated period; renewal pricing is as stated at purchase. Pilot-program engagements are free of charge unless agreed otherwise in writing. Where payment processing is offered it is handled by Stripe; we never store your card details.

6. Acceptable use

Do not attempt to access other organizations' data, probe or disrupt the service, upload malicious content, or use the service to violate any law or third-party right.

7. Intellectual property

You retain all rights to the data you upload. You own the reports generated for your organization and may share them freely. We retain all rights to the service, the analysis engine, and the report formats.

8. Disclaimer of warranties and limitation of liability

The service is provided “as is” without warranties of any kind, express or implied. To the maximum extent permitted by law, our total liability arising out of or relating to the service is limited to the amount you paid us in the twelve months preceding the claim, and we are not liable for indirect, incidental, or consequential damages — including licensing decisions made in reliance on a report.

9. Termination

You may stop using the service and request account deletion at any time. We may terminate accounts for breach of these terms. Sections 2, 3, 7, and 8 survive termination.

10. Changes and contact

We may update these terms; material changes will be reflected in the “last updated” date above, and continued use after a change constitutes acceptance. Questions: open a ticket from your dashboard or email support@winsqltool.com.
